Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the Junk Brain website at junkbrain.ai and the Junk Brain application (collectively, the "Service"), operated by Junk Brain ("we," "us," or "our").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

Junk Brain is an AI-powered knowledge workspace that allows you to create and organize notes, tasks, and folders; run AI agents that analyze, extract insights from, and act on your content; build and execute custom skills; and connect external tools through integrations and the MCP (Model Context Protocol) server.

The Service includes both free and paid tiers. Feature availability and usage limits vary by plan. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. Accounts

You must create an account to use the Service. You are responsible for maintaining the confidentiality of your account credentials, including any API keys you generate. You are responsible for all activity that occurs under your account.

You must provide accurate and complete information when creating your account. You must be at least 16 years old to use the Service. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Your Content

4.1 Ownership

You retain full ownership of all content you create, upload, or import into the Service ("Your Content"). We do not claim any intellectual property rights over Your Content. Your notes, tasks, agent configurations, skills, and all other workspace data belong to you.

4.2 License to Us

By using the Service, you grant us a limited, non-exclusive license to store, process, and transmit Your Content solely for the purpose of providing the Service to you. This includes sending excerpts of Your Content to AI model providers for processing when you use AI features. This license terminates when you delete Your Content or close your account.

4.3 AI-Generated Content

Content generated by AI agents within your workspace (including extracted insights, summaries, task suggestions, and agent responses) is provided "as is." You are responsible for reviewing and verifying AI-generated content before relying on it. We do not guarantee the accuracy, completeness, or appropriateness of AI-generated content.

4.4 Prohibited Content

You agree not to use the Service to store or process content that:

Violates any applicable law or regulation.

Infringes on the intellectual property rights of others.

Contains malware, viruses, or other harmful code.

Is designed to abuse, overload, or circumvent the Service's usage limits or security measures.

Involves the generation of content that exploits, harms, or endangers minors.

5. Skills and Custom Code Execution

The Service allows you to create and execute custom skills (code that runs within your workspace). You are solely responsible for the code you write and execute through the skills system. We provide a sandboxed execution environment, but we do not review or validate your skill code.

You agree not to use the skills system to perform unauthorized access to external systems, distribute malware, or engage in any activity that violates these Terms or applicable law.

6. MCP Server and API Access

The Service provides a Model Context Protocol (MCP) server and API that allows external tools to access your workspace data using API keys you generate. You are responsible for the security of your API keys and for all actions taken through them.

API access is subject to rate limits based on your plan tier. We reserve the right to throttle or suspend API access that degrades the Service for other users. API keys can be revoked at any time from your Settings page.

7. Third-Party Integrations

The Service allows you to connect third-party services (Google Drive, Zoom, Telegram, and others). When you connect an integration, you authorize us to access data from that service on your behalf as described in our Privacy Policy.

We are not responsible for the availability, accuracy, or security of third-party services. Your use of third-party services is governed by their respective terms and policies.

8. Plans, Payment, and Usage Limits

The Service offers a free tier with limited usage and a paid Pro tier with higher limits. Usage limits (AI extractions, chat messages, agent runs, MCP API calls) reset monthly. Current plan details and pricing are available on our pricing page.

Paid subscriptions are billed monthly or annually as selected at the time of purchase. You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods.

We reserve the right to change pricing with 30 days' notice. Price changes will not affect your current billing period.

9. Acceptable Use

You agree not to:

Use the Service for any illegal purpose or in violation of any applicable law.

Attempt to gain unauthorized access to the Service, other users' accounts, or our infrastructure.

Reverse engineer, decompile, or disassemble any part of the Service.

Use automated tools (bots, scrapers) to access the Service except through our official API.

Resell, sublicense, or redistribute the Service without our written permission.

Circumvent or attempt to circumvent usage limits, rate limits, or other technical restrictions.

Use the Service to generate spam, phishing content, or other unsolicited communications.

10. Intellectual Property

The Service, including its design, code, features, documentation, and branding, is owned by Junk Brain and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.

The Junk Brain name, logo, and all related marks are our trademarks. You may not use them without our prior written consent.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure. We do not warrant the accuracy or reliability of AI-generated content. AI agents may produce incorrect, incomplete, or misleading outputs. You are responsible for verifying all AI-generated content before acting on it.

We do not warrant that the Service will meet your specific requirements or that results obtained from using the Service will be accurate or reliable.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JUNK BRAIN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

13. Indemnification

You agree to indemnify and hold harmless Junk Brain and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

14. Termination

You may terminate your account at any time by contacting us at hello@junkbrain.ai. We may terminate or suspend your account at any time for violation of these Terms, with or without notice.

Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days after termination to allow you to request an export. After 30 days, your data will be permanently deleted.

15. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Junk Brain is incorporated, without regard to its conflict of law provisions.

Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the applicable arbitration association.

16. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. For significant changes, we will also notify you via email or an in-app notification.

Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.

17. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Junk Brain regarding the Service.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Assignment: You may not assign or transfer your rights under these Terms without our consent. We may assign our rights without restriction.
